- Resident Agent
- In Michigan, a resident agent is the individual or entity designated to receive service of process and official state correspondence on behalf of a business. The term is used interchangeably with "registered agent" in Michigan statutes. Under MCL 450.4207 for LLCs and MCL 450.1241 for corporations, every business entity formed or registered to do business in Michigan must continuously maintain a resident agent with a physical address in the state. Eligible agents include any Michigan resident with a street address, any domestic entity with a registered office, or any foreign entity authorized to transact business in Michigan.
- Registered Office
- The registered office is the physical street address in Michigan where the resident agent is located and available to accept hand-delivered legal documents. P.O. Boxes and virtual office addresses that provide only mail forwarding are prohibited. The registered office must be a location where a process server can physically access the agent during regular business hours. This address appears on LARA's public business entity database and is searchable by anyone.
- Service of Process
- Service of process is the legal procedure by which a party to a lawsuit formally delivers legal documents — including summons, complaints, subpoenas, and court orders — to the opposing party. For Michigan business entities, service must be made on the resident agent at the registered office address. Under Michigan Court Rules, if the agent cannot be located at the registered address, the court may authorize substitute service, including service on the Michigan Department of State, which can result in lawsuits proceeding without the business owner's knowledge.
Filing and Formation Terms
- Articles of Organization
- The Articles of Organization is the formation document filed with LARA to create a Michigan LLC. The filing fee is $50 whether submitted online through LARA's Corporations Online Filing System (COFS) at cofs.lara.state.mi.us or by mail. The Articles must include the resident agent's full legal name and Michigan street address. Expedited processing is available at $50 for 24-hour service and $100 for same-day service.
- LARA (Department of Licensing and Regulatory Affairs)
- LARA is the Michigan state agency responsible for business entity filings, including LLC formations, annual statements, and resident agent changes. LARA maintains the public database of all registered business entities and their designated resident agents. Unlike most states where the Secretary of State handles business filings, Michigan delegates this authority to LARA. Online filings are processed through the COFS portal.
- Annual Statement
- The Annual Statement (commonly called the Annual Report) is a filing required of every Michigan LLC each year. The fee is $25, and it is due by February 15 of each year. The Annual Statement confirms the LLC's resident agent information, including the agent's name and Michigan address. Failure to file triggers a $50 late fee and may eventually lead to administrative dissolution if the deficiency remains uncorrected.
- Certificate of Change of Resident Agent
- The Certificate of Change of Resident Agent is the filing submitted to LARA when an LLC needs to replace its resident agent or update the agent's address. The filing fee is $5 through the COFS online portal. The new agent must consent to the appointment, and the change takes effect upon LARA's processing. The previous agent's appointment terminates automatically when the change is recorded.

- A commercial registered agent is a professional service company that serves as resident agent for multiple business entities. Commercial agents maintain staffed offices in Michigan, guarantee availability during all business hours, and provide services such as document scanning, email notification, online dashboards, and compliance reminders. Pricing in Michigan ranges from $49 to $199 per year depending on the service tier. Commercial agents keep business owners' personal addresses off public records.
- Administrative Dissolution
- Administrative dissolution is the involuntary termination of an LLC's legal existence by LARA. This can occur when an LLC fails to maintain a resident agent, fails to file its Annual Statement, or otherwise falls out of compliance with Michigan law. Under MCR 2.612, reinstatement requires demonstrating excusable neglect and paying all outstanding fees. During the period of dissolution, the LLC loses its authority to transact business in Michigan.
- Default Judgment
- A default judgment is a court ruling entered against a party that fails to respond to a lawsuit within the required timeframe. If a Michigan LLC misses service of process because its resident agent is unavailable or its registered office address is outdated, the court may enter a default judgment without the LLC ever having the opportunity to present its defense. Overturning a default judgment under Michigan law requires filing a motion under MCR 2.612, demonstrating both excusable neglect and a meritorious defense — a high legal bar that typically requires attorney representation.
